The Office of Assessment and Continuous Improvement (ACI) within the Division of Corporation Finance (CF) provides mission-critical support to CF and CF's Disclosure Review Program (DRP). These responsibilities include assessing the effectiveness of the DRP and coordinating efforts across all CF Disclosure Operations offices to provide forward-looking recommendations to drive DRP process improvements, and assisting with updating policies and procedures central to CF's operations.

If selected, you will serve as a Staff Attorney in ACI, responsible for providing a broad range of expert legal counsel and policy advice to ACI and DRP staff and analysis and guidance with respect to enhancements to DRP processes.
Typical duties include:
Advising on the Securities Act of 1933, the Securities Exchange Act of 1934, other federal securities laws, and their associated regulations and forms.
Analyzing and measuring outcomes of the DRP to identify comment trends, assessing the impact and utility of existing staff review guidance, and understanding how staff practices or policies may impact the filing review process.
Working with subject matter experts collaboratively both within and outside of ACI to pilot review and comment on approaches to specific disclosure topics and newly adopted rules.
Responding and/or resolving unexpected developments and challenges relating to disclosure filings and processing issues by assessing outcomes and providing recommendations.
Collaborating with Division Offices, such as the Disclosure Management Office, to update DRP policies and procedures.
Recognizing and analyzing complex comment issues as part of DRP's Annual Report Review Program monthly and baseline summary work.
Working collaboratively and flexibly to accomplish work to support the organizational mission and assist with special projects.

Qualifications

Qualifying experience may be obtained in the private or public sector. Experience refers to paid and unpaid experience, including volunteer work done through National Service programs (e.g., Peace Corps, AmeriCorps) and other organizations (e.g., professional; philanthropic; religious; spiritual; community, student, social). Volunteer work helps build critical competencies, knowledge, and skills and can provide valuable training and experience that translates directly to paid employment. You will receive credit for all qualifying experience, including volunteer experience. Qualifying education must have been obtained from an accredited college or university recognized by the U.S. Department of Education.
BASIC REQUIREMENT: All applicants must possess the following
J.D. or LL.B. degree --AND--
Active membership of the bar in good standing in any state, territory of the United States, the District of Columbia, or the commonwealth of Puerto Rico. (Note: proof of bar membership will be required before entry on duty.
MINIMUM QUALIFICATION REQUIREMENT: In addition to meeting the basic requirement, applicants must also meet the minimum qualification requirement.
SK-14: Applicant must have three (3) years of post J.D. experience independently identifying legal issues, providing legal analyses, providing legal solutions/recommendations, and preparing legal documents, which also includes at least two (2) years:
1) providing legal advice or conducting legal analysis regarding the application of the Securities Act of 1933 and the Exchange Act of 1934; or
2) providing legal advice and recommending solutions for issues involving foreign issuers and their participation in the U.S. and foreign capital markets.
Education
FOREIGN EDUCATION: If you are using education completed in foreign colleges or universities to meet the qualification requirements, you must show the education credentials have been evaluated by a private organization that specializes in interpretation of foreign education programs and such education has been deemed equivalent to that gained in an accredited U.S. education program; or full credit has been given for the courses at a U.S. accredited college or university.
